Terms of Use

The rules for using Memesly, in language you can actually read: it is a parody site with a live launchpad attached, we never hold your money, and you are responsible for everything you sign.

Memesly is a joke that runs on real market data. These terms cover both halves of it, the satire and the token launchpad, which now live together at memesly.io. memesly.io forwards there. Using any part of it means you accept what follows.

We have tried to write this in plain English. Where a section is dense, it is dense because a court may have to read it one day, not because something is being hidden in it.

#What Memesly is

Memesly is a satirical parody of subscription creator platforms. It takes roughly 185 real memecoins and presents them as if they were creators, each with a profile, a bio, posts, and a bot that answers direct messages. The format is the joke.

Two things on the site are real. The market data, which is pulled live from public DEX aggregator APIs, and the launchpad, which mints real tokens on Solana mainnet for a real fee. Everything else is fiction.

  • The parody pages have no accounts, no sign up, and no wallet connect anywhere on them.
  • The launchpad has a wallet connection, because minting a token requires one.
  • Market data may be delayed, incomplete, or simply wrong. We do not produce it and we cannot verify it.
memesly.io is the only site we run, and memesly.io forwards to it. If a page at any other address looks like Memesly and asks you to connect a wallet, it is not us. Close the tab.

#Everything on the profiles is fiction

Every profile, bio, post, subscription price, hobby and direct message reply on the parody pages is invented for comedy. No token has a personality. No token wrote anything. No token agreed to appear.

Memesly is not affiliated with, endorsed by, sponsored by or connected to any token, project, team or person depicted, or to any real creator platform. Names, tickers and logos are used to identify the subject of the parody and for no other purpose.

The site is built to be obviously absurd, and it should be read that way. If you treat a joke bio as a statement of fact about a real project, the site will mislead you, and that is a reading error rather than a claim we made.

#Who may use Memesly

By using Memesly you confirm all of the following about yourself.

  • You are at least 18 years old and have the legal capacity to agree to these terms.
  • You are not located in, resident in, or acting on behalf of anyone in a country or region subject to comprehensive sanctions.
  • You are not named on any sanctions or restricted party list maintained by a government with authority over you.
  • Using the site, holding tokens, or launching a token does not break any law that applies to you where you are.

You are responsible for knowing your own local law. We do not know where you are, and nothing here gives you permission to ignore the rules that apply to you.

If any of the above stops being true, stop using the site.

#Nothing here is advice, and the numbers can be wrong

Nothing on Memesly is financial, investment, tax, accounting or legal advice, and nothing on it is a recommendation to buy, sell or hold anything. We do not know you, your finances or your risk tolerance, and we are not offering to find out.

Rankings, scores, badges, leaderboards and every other ordering on the site are comedic. They are not ratings of quality, safety or prospects. A token near the top is not better than one near the bottom. It has bigger numbers today.

Market data comes from third party DEX aggregators. It can be stale, partial, misreported at the source, or missing entirely. Do not use Memesly as your source of truth for a trade. Check the chain.

Read the risk disclaimer as well. It is blunter than this document and considerably more useful.

#Your wallet, your keys, your responsibility

Memesly never takes custody of anything. We do not hold funds, tokens, private keys or seed phrases at any point, and we have no technical ability to move assets out of your wallet.

On the launchpad you sign every transaction yourself, in your own wallet, after your wallet shows you what it does. Signing in is a message signature rather than a transaction: it proves you control an address, it costs nothing, and it moves no funds.

We will never ask for your seed phrase. Nobody at Memesly will ever ask for your seed phrase. There is no situation, support related or otherwise, in which handing it to anyone is the correct move.

  • Keeping your keys and recovery phrase safe is entirely your job.
  • Reading a transaction before you approve it is entirely your job.
  • Wallet software, browser extensions and RPC providers are third party products we do not control.
  • If your device or your wallet is compromised, we cannot help you and we cannot undo what happens next.

#Acceptable use

Use Memesly for what it is: reading jokes, checking numbers, and if you want, launching a token you are entitled to launch. Do not use it as infrastructure for harming people.

You may not do any of the following.

  • Impersonate Memesly, anyone who works on it, another user, or any real person or project.
  • Post or launch content you do not have the rights to use, including names, artwork and logos belonging to someone else.
  • Use the site to promote a scam, a phishing page, a fake claim site, or any offer that depends on somebody misunderstanding what they are signing.
  • Post material that is illegal, sexual content involving minors, threats, targeted harassment, or incitement to violence. This is a joke site, and none of that is the joke.
  • Scrape, mirror or hammer the site in a way that degrades it for other people, or work around rate limits or any other access control.
  • Probe, attack or reverse engineer the site or its hosting, beyond reading what is already public on chain.
  • Use automated tools to mint tokens in bulk for spam, or to manipulate any ranking, feed or counter.
  • Present anything on Memesly as a genuine endorsement by a real project or a real person.

We do not run a court and we are not going to arbitrate your dispute with someone else. We will remove content that breaks these rules when we see it.

#Content you post on the launchpad

The launchpad lets you attach content to a token: a name, a ticker, a picture, a description, and where comments are enabled, comments. You keep ownership of what you post. We do not claim it.

By posting it, you grant Memesly a worldwide, non-exclusive, royalty free license to store, display, resize, cache and distribute that content for the purpose of operating and promoting the site. The license lasts as long as we are showing the content, and it exists only because a website cannot legally display a picture without permission to display the picture.

You promise that you hold the rights to everything you upload, and that showing it infringes nobody's trademark, copyright, privacy or publicity rights. If you took the logo from a company, you do not hold those rights.

Token metadata is written on chain and cannot be updated by anyone once minted. Removing something from our site does not remove it from Solana.

#Removing content and blocking access

We may remove content, hide a token from our listings, or block an address or an IP from using the site. We may do it because content breaks these terms, because a credible complaint arrived, because the law requires it, or because leaving it up puts the site at risk.

We may do that without warning and without an appeals process. This is a parody site run by a small team, not a public utility, and you are not promised a hearing.

Removing a token from our interface does not burn it, freeze it, or affect its existence on chain in any way. It keeps trading wherever it trades. The only thing we control is what our own pages display.

#Launching a token

The launchpad at memesly.io mints a token on Solana mainnet against a bonding curve. You pick a supply tier from 500 million, 950 million, 1 billion, 1.5 billion, 2 billion, 5 billion, 1 trillion or 2 trillion, and you pay a launch fee. The token is minted with no mint authority and no metadata update authority, so nobody, including us, can print more supply or change the name or the picture afterward.

The launch fee is 0.1 SOL, or 50% less when you pay in $MEMESLY. Paying in $MEMESLY is charged in two parts, because the bonding curve program takes its own creation fee in SOL on every launch and it cannot be waived: 0.025 SOL to the program, plus 0.025 SOL worth of $MEMESLY, which is burned with the SPL burn instruction so the drop in supply is verifiable on chain. Fees are not refundable, including when a token goes nowhere, and burned tokens cannot be recovered by anyone.

The curve graduates automatically once it accumulates 85 SOL, and 20% of supply seeds a market pool at that moment. Nobody presses a button, and nobody can trigger it early or hold it back.

If a token graduates, the creator receives 2% of supply through an escrow that is not created at all unless the curve fills. Half unlocks at graduation and the rest eight hours later. If the curve never fills, there is no escrow and the creator receives nothing.

When you launch, you are the one making the thing, and you are responsible for it.

  • You must hold the right to use the name, ticker, artwork and description you choose.
  • You are responsible for every claim you make about your token, anywhere, including off this site.
  • You are responsible for whatever securities, consumer protection and advertising law applies to you.
  • We do not review, vet, endorse or take responsibility for any token launched through the site, including tokens that appear in our own interface.
The launchpad is live on Solana mainnet. The SOL is real, the token you mint is real and permanent, and nobody can reverse a launch once you have signed it. Launching is not an investment, and nothing here promises that your token will go anywhere at all.

#The smart contracts are third party and immutable

Launches run on Meteora's Dynamic Bonding Curve program. We did not write that program, we do not control it, and we cannot modify, pause or upgrade it. The same is true of the Solana network, the SPL token program, your wallet, and any market or aggregator a token later reaches.

On chain code executes exactly as deployed. If third party code contains a bug, gets exploited, changes behavior in an upgrade, or simply stops working, the result lands on whoever holds the position. There is no support desk between you and a blockchain.

Anything the site tells you about a transaction is our best reading of public data. The chain is the record. We are not.

#What we cannot do for you

This is a list of things that are impossible, not things being declined out of policy. Asking nicely changes none of them.

  • Reverse, cancel or refund a transaction after you sign it. Solana is final. There is no undo.
  • Recover a lost or stolen seed phrase, or restore access to a wallet you cannot open. We never had it.
  • Change a token's name, ticker, picture or metadata after it is minted. The update authority does not exist.
  • Mint more of a token, or shrink a supply that is already out there. The mint authority does not exist either.
  • Make a market for your token, find you buyers, or cause a curve to fill. Nobody here can create demand.
  • Retrieve tokens from a scammer, a bad trade, or a wallet you sent them to by mistake.

If somebody claiming to be Memesly offers to do any of these for you, they are lying, and it is the opening move of a theft.

#No warranties

MEMESLY IS PROVIDED AS IS AND AS AVAILABLE, WITH NO WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE OR ERROR FREE.

In ordinary language: the site can go down, the data can be wrong, a feature can break, and any third party we depend on can fail at any time. We run it carefully and we still promise you nothing.

We warrant no token, including $MEMESLY and including anything launched through the launchpad.

#Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MEMESLY AND THE PEOPLE WHO BUILD IT ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, NOR FOR LOST PROFITS, LOST TOKENS, LOST DATA, LOST OPPORTUNITY OR ANY LOSS OF VALUE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER THE CLAIM SOUNDS IN CONTRACT, TORT, STRICT LIABILITY OR ANYTHING ELSE, AND WHETHER OR NOT WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO MEMESLY IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED UNITED STATES DOLLARS.

Some jurisdictions do not allow parts of the above. Where that is true, those parts do not apply to you and the rest still does.

A trading loss is not a defect. If you buy a token and it goes to zero, that is the product behaving exactly as the risk disclaimer describes.

#Indemnification

If your use of Memesly causes somebody to bring a claim against us, you cover it. You agree to defend, indemnify and hold harmless Memesly and the people who build it against any claim, loss, liability, penalty and reasonable legal fees arising out of your use of the site, your content, any token you launch, your breach of these terms, or your violation of any law or of anyone else's rights.

We may take over the defense of any such claim ourselves, at your expense, and if we do, you will cooperate with us.

#Changes to the site and to these terms

We may change, suspend or discontinue any part of Memesly at any time, including the launchpad, without notice. Nothing here is a commitment to keep a feature running.

We may also update these terms. When we do, the date at the top changes. Material changes will be reasonably obvious rather than buried, and continuing to use the site after a change means you accept the updated version.

If you do not accept a change, the remedy is to stop using the site. Tokens already on chain are unaffected by anything written here, because our terms do not govern Solana.

#Disputes and governing law

Before anything formal, write to with a clear description of the problem and what you want done about it. Most things end there, and it is faster for both sides than the alternative.

[GOVERNING LAW: to be set by counsel]

Governing law and the venue for disputes have genuinely not been decided yet. Rather than invent a jurisdiction to make this document look finished, the bracketed placeholder above stays until counsel sets it, and the date at the top will change when it does.

To the extent the law allows, you agree to bring any claim individually, and not as a plaintiff or class member in a class, collective or representative action.

Any claim relating to Memesly must be brought within one year of when it arose, unless applicable law does not permit that limit.

#The rest of it

  • If a provision here is unenforceable, it is cut back only as far as needed, and everything else stays in force.
  • If we do not enforce a right immediately, we have not waived it.
  • You may not transfer your rights under these terms. We may transfer ours to a successor if the project moves.
  • These terms and the risk disclaimer are the whole agreement between you and Memesly about the site.
  • Headings exist so you can find things. They carry no legal weight.
  • These terms are written in English. Any translation is a convenience, and the English version controls.

Nothing here creates a partnership, an employment relationship or an agency between you and Memesly, and there are no third party beneficiaries.

Include enough detail to act on: the exact page, what is wrong with it, and what you want done.

We publish no phone number and we accept no legal notice through social media. We never send the first direct message to anyone, so a message claiming to be Memesly support is not Memesly support.

This is not legal advice, and we are not your lawyer. It is a description of how this site works, written to be understood rather than to be impressive. If something here matters to you, take it to somebody qualified in your own jurisdiction.
